Terms of use.
These terms govern Stackporch software and applications, including integrations that connect to a third-party system on an authorised user's instruction. Work delivered under a signed Statement of Work or Professional Services Agreement is governed by that agreement, which controls wherever it differs from this page.
Who these terms are betweenStackporch, LLC, a Wisconsin limited liability company, and the person or organisation using Stackporch software. Using the software means accepting these terms. If you are agreeing on behalf of an organisation, you confirm you are authorised to do so.
LicenceStackporch grants a non-exclusive, non-transferable right to use the software for its intended business purpose for as long as the applicable agreement is in force. Stackporch retains ownership of the software, its components, and general product knowledge. Ownership of anything built specifically for a client is set by that client's Statement of Work, not by this page.
Connected systemsSome applications connect to third-party systems—accounting, field service, identity, and similar—only after an authorised user explicitly grants access. That access is used solely to perform the functions the application describes. It is never used to sell, broker, or advertise against the connected data. Access can be withdrawn at any time from the connected system, and doing so ends the application's ability to read or write there.
Acceptable useDo not use the software to break the law, infringe rights, bypass a third party's terms, attack or overload a connected system, or attempt to reach data belonging to another organisation. Do not resell or sublicense the software without written agreement.
Credentials are yours to protectKeep authentication credentials, tokens, and API keys confidential and out of shared locations. Report a suspected compromise promptly so access can be revoked. Stackporch is not responsible for activity carried out through credentials that were not kept secure.
AvailabilitySoftware is provided as it stands. Third-party systems, hosting providers, and networks are outside Stackporch's control, and their outages or changes can interrupt functionality. Any service level applies only where a signed agreement states one.
Warranty disclaimerExcept where a signed agreement says otherwise, the software is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Some jurisdictions do not allow certain exclusions, in which case they apply to the extent permitted.
Limitation of liabilityTo the extent permitted by law, Stackporch is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Where a signed agreement sets a liability cap, that cap applies; otherwise total liability is limited to the amounts paid to Stackporch for the software in the twelve months before the claim.
What is never cappedNothing in these terms limits liability for fraud, fraudulent misrepresentation, gross negligence, wilful misconduct, death or personal injury caused by negligence, or any liability that cannot lawfully be limited. A cap that purported to cover those would not be enforceable, and stating the carve-out plainly is how the rest of the cap survives.
Term and terminationThese terms apply while the software is in use. Either party may end use at any time, subject to any signed agreement. On termination, disconnect any connected systems and stop using the software. Provisions that by their nature should survive—ownership, confidentiality, disclaimers, and limitation of liability—survive.
ChangesThese terms may be updated. The effective date above changes when they do. Continued use after an update means the updated terms apply.
Governing lawThe laws of the State of Wisconsin, USA, without regard to conflict-of-law rules. Disputes are subject to the courts serving Waukesha County, Wisconsin, unless a signed agreement specifies otherwise.
